1. Definitions
- "Service" refers to the Trustee Portal SaaS platform
- "User," "You," "Your" refers to the individual or organization using the Service
- "Organization" refers to the charity, trust, or other entity registered on the platform
- "Content" refers to all data, documents, and information uploaded to the platform
- "We," "Us," "Our" refers to Trustee Portal Ltd
2. Account Registration
2.1 Eligibility
You must be:
- At least 16 years of age
- Authorized to act on behalf of your organization
- Able to enter into legally binding contracts
2.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
3. Acceptable Use
You agree NOT to:
- Use the service for any illegal purpose
- Upload viruses, malware, or malicious code
- Attempt to gain unauthorized access to the service
- Interfere with other users' access to the service
- Upload content that infringes on intellectual property rights
- Use the service to send spam or unsolicited communications
- Share account credentials with unauthorized individuals
4. Service Level Agreement (SLA)
4.1 Uptime Commitment
- We target 99.9% monthly uptime for paid plans
- Scheduled maintenance will be announced 7 days in advance
- Emergency maintenance may occur with minimal notice
4.2 Support
- Trial/Basic: Email support, 48-hour response time
- Standard: Priority email support, 24-hour response time
- Enterprise: Dedicated account manager, 4-hour response time
5. Data and Content
5.1 Ownership
You retain all rights to your Content. We do not claim ownership of any data you upload to the platform.
5.2 License to Us
You grant us a limited license to use, store, and process your Content solely for the purpose of providing and improving the Service.
5.3 Backup and Retention
- We perform automated daily backups
- Backups are retained for 30 days
- You are encouraged to maintain your own backups of critical data
6. Subscription and Payment
6.1 Billing
- Subscriptions are billed in advance on a monthly or annual basis
- All fees are exclusive of VAT unless stated otherwise
- Failed payments may result in account suspension after 7 days
6.2 Cancellation
- You may cancel your subscription at any time
- Cancellation takes effect at the end of the current billing period
- No refunds for partial months
6.3 Trial Period
- New accounts receive a 14-day free trial
- Credit card required to continue after trial
- Trial data is retained for 30 days after trial ends
7. Termination
7.1 By You
You may terminate your account at any time through the account settings or by contacting support. Upon termination:
- Your access to the service will cease immediately
- Your data will be retained for 30 days, then deleted
- You may request immediate deletion under GDPR
7.2 By Us
We may terminate or suspend your account for:
- Violation of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- Extended period of inactivity (2+ years)
8. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.
Our total liability shall not exceed the amount paid by you to us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Trustee Portal Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
10. Third-Party Services
The Service may integrate with third-party services (e.g., Charity Commission API). Your use of such services is subject to their respective terms. We are not responsible for the availability or performance of third-party services.
11. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Trustee Portal Ltd. The Service is protected by copyright, trademark, and other laws.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the platform at least 30 days before they take effect. Continued use after changes constitutes acceptance.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Trustee Portal Ltd regarding the use of the Service.
